These Terms of Use (“Terms”) govern your access to and use of jupiteruv.com (the “site”). By accessing or using the site in any manner, including by browsing content, looking up a serial number, registering a unit, ordering replacement lamps, or submitting a form, you agree to be bound by these Terms.

Scope

jupiteruv.com is the product site of Jupiter UV, LLC, a Florida limited-liability company that designs and assembles UV-C air treatment systems. The site enables users to look up a unit by serial number, register a unit for warranty, reorder replacement lamps, access product documentation, and submit inquiries. The site is not an online store; purchases of Jupiter UV products are made through HVAC contractors supplied by Jupiter UV, LLC.

Eligibility

You must be at least eighteen (18) years of age to use the site, or must use the site under the supervision of a parent or guardian who agrees to these Terms on your behalf. The site is not intended for use by children.

Accurate information

You agree to provide accurate, complete, and current information on any form you submit through the site. Jupiter UV, LLC is not responsible for the consequences of inaccurate information provided by a user, including without limitation misdirected shipments of replacement products arising from incorrect address or contact data.

Acceptable use

You agree not to:

• Scrape, crawl, or otherwise automate access to the site in a manner that imposes an unreasonable load on Jupiter UV, LLC’s servers or that collects data in bulk;
• Submit forms by automated means, submit forms repeatedly, or submit forms containing false or misleading information;
• Attempt to access any data, account, or system to which you have not been granted authorization;
• Reverse-engineer, decompile, or probe the site for security vulnerabilities, except through a responsible-disclosure communication to info@jupiteruv.com; or
• Interfere with any other user’s access to the site or submit malicious content.

Jupiter UV, LLC reserves the right to block or restrict access from any source engaged in prohibited activity and to pursue all available remedies, including injunctive relief and recovery of attorneys’ fees to the extent permitted by applicable law.

Intellectual property

All content on jupiteruv.com, including without limitation text, images, product renderings, drawings, logos, and documentation, is the property of Jupiter UV, LLC or is used with permission. You may view the content and share hyperlinks to it. You may not copy, modify, redistribute, or create derivative works based on the content without the prior written consent of Jupiter UV, LLC. “Jupiter UV” is a mark of Jupiter UV, LLC. You may refer to Jupiter UV products by name in reviews, articles, and specifications, but you may not use any Jupiter UV mark in a manner that implies endorsement, sponsorship, or affiliation by Jupiter UV, LLC where no such relationship exists.

Product warranty

The product warranty for Jupiter UV products, including coverage, duration, and the procedure for making a claim, is set forth in the Jupiter UV Limited Warranty and is incorporated into these Terms by reference. Nothing in these Terms expands, modifies, or supersedes the Limited Warranty.

Privacy

Jupiter UV, LLC’s collection, use, and handling of personal information is governed by the Jupiter UV Privacy Policy, which is incorporated into these Terms by reference. By using the site, you consent to the collection and use of personal information as described in the Privacy Policy.

Electronic communications

By using the site, submitting any form, or providing your email address or mobile telephone number to Jupiter UV, LLC, you consent to receive communications from Jupiter UV, LLC in electronic form, including by email and, where you have provided a mobile number, by text message. You agree that all agreements, notices, disclosures, and other communications that Jupiter UV, LLC provides to you electronically satisfy any legal requirement that such communications be in writing.

Third-party links

The site may contain hyperlinks to third-party websites that are not under the control of Jupiter UV, LLC, including contractor directories, vendor pages, and standards bodies. Jupiter UV, LLC is not responsible for the content, accuracy, or privacy practices of any such third-party website.

Limitation of liability

To the maximum extent permitted by applicable law, in no event shall Jupiter UV, LLC, its affiliates, or their respective officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, use, or goodwill, arising out of or in connection with your use of or inability to use the site. In no event shall the aggregate liability of Jupiter UV, LLC arising out of or relating to these Terms or the site exceed one hundred US dollars (US $100.00). The foregoing limitations shall not apply to the extent prohibited by applicable law, including without limitation claims brought under the Florida Deceptive and Unfair Trade Practices Act, Fla. Stat. §§501.201 et seq.

Product liability is governed separately by the Jupiter UV Limited Warranty and is not subject to this section.

Class-action waiver

You and Jupiter UV, LLC each agree that any dispute, claim, or controversy arising out of or relating to these Terms or the site shall be resolved on an individual basis only, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. You and Jupiter UV, LLC expressly waive any right to participate in a class action, class arbitration, collective action, or representative action to the maximum extent permitted by applicable law.

Governing law and venue

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-laws principles. The parties agree that any action or proceeding arising out of or relating to these Terms or the site shall be brought exclusively in the state or federal courts located in Palm Beach County, Florida, and each party hereby consents to the personal jurisdiction and venue of such courts.

Force majeure

Jupiter UV, LLC shall not be liable for any failure or delay in performance of its obligations under these Terms to the extent such failure or delay is caused by circumstances beyond its reasonable control, including without limitation acts of God, natural disaster, fire, flood, hurricane, earthquake, epidemic or pandemic, war, terrorism, civil unrest, labor stoppage, failure of suppliers or subcontractors, utility or telecommunications outage, cyberattack, denial-of-service attack, or action of any governmental authority.

Indemnification

You agree to defend, indemnify, and hold harmless Jupiter UV, LLC, its affiliates, and their respective officers, directors, employees, agents, and contractors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (i) your use of the site, (ii) your violation of these Terms, (iii) your violation of any third-party right, including without limitation any intellectual-property, publicity, or privacy right, or (iv) any claim that your use of the site caused damage to a third party.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to render it enforceable, or if modification is not possible, severed from these Terms, and the remaining provisions shall continue in full force and effect.

No waiver

The failure of Jupiter UV, LLC to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition.

Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, in whole or in part, without the prior written consent of Jupiter UV, LLC, and any attempted assignment without such consent shall be null and void. Jupiter UV, LLC may freely assign these Terms, in whole or in part, without notice to you, including in connection with any merger, acquisition, reorganization, or sale of all or substantially all of its assets.

Entire agreement

These Terms, together with the Jupiter UV Limited Warranty and the Jupiter UV Privacy Policy, each incorporated herein by reference, constitute the entire agreement between you and Jupiter UV, LLC with respect to the site and supersede all prior and contemporaneous agreements, representations, and understandings, whether written or oral, relating to the subject matter hereof.

Changes to these Terms

Jupiter UV, LLC may update these Terms from time to time. The “Last updated” date at the top of these Terms will reflect the date of the most recent revision. Where a change materially affects a user’s rights or obligations, Jupiter UV, LLC will post notice of the change at the top of this page. Your continued use of the site following any such change constitutes your acceptance of the updated Terms.
